DEPARTMENTAL RECOMMENDATION:
The County Administrator’s Office recommends the Board of Supervisors:
1) Approve an amendment to an Exclusive Negotiating Rights Agreement with Industrial Realty Group, LLC, for development of the Solano County Fairgrounds property in Vallejo, to extend the term through September 30, 2022;
2) Approve an amendment to a contract with MacKay & Somps for engineering and site improvement services, to extend the term through December 31, 2022.
SUMMARY/DISCUSSION:
The Board is being asked to approve Amendment No. 2 to an Exclusive Negotiating Rights Agreement (ENR) with Industrial Realty Group, LLC (IRG), to extend the term through September 30, 2022, in order to continue work on a specific plan amendment and to complete negotiations on a ground lease agreement with the County. Progress has been made on the proposed lease terms, but additional time is needed on certain specific provisions still under consideration.
On January 19, 2021, the County entered into an Exclusive Negotiating Rights Agreement with IRG, to develop a ground lease agreement to develop the property. The initial term for the agreement was through September 30, 2021 and was extended once prior, through March 31, 2022. Staff is requesting the Board extend the agreement a second time in order to allow for further work on both the lease agreement and to allow IRG to continue work on the Specific Plan amendment.
The Board is also being asked to approve Amendment No. 11 to an contract with MacKay & Somps to extend the contract term through December 31, 2022, to allow for continued engineering and site improvement services at the Solano County Fairgrounds property located in Vallejo, southwest of the intersection of SR37 and I80. The contract totals $387,000 and currently requires a term extension to allow the County to continue site improvement work.
FINANCIAL IMPACT:
There is no increase to the contract agreement amount with MacKay and Somps. Under the ENR and the reimbursement agreement, IRG will be required to reimburse the County for any additional studies for environmental review associated with the specific plan submittal. Funds have been appropriated in Fund 1820 to pay for any upfront consultant costs until reimbursement occurs. The costs associated with preparing the agenda item are nominal and absorbed by the department’s FY2021/22 Adopted Budget.
ALTERNATIVES:
The Board may choose not to approve these amendments. This is not recommended, however, as both IRG and MacKay & Somps are providing necessary work to assist the County with the Solano360 project.
OTHER AGENCY INVOLVEMENT:
The Solano360 Implementation Committee comprised of two County Board members and two Vallejo City Council members, has met and discussed the project and specific plan amendment process since execution of the ERN. Staffs from the City of Vallejo, Solano County Fair, the County Administrators office, General Services and the County Counsel have worked on various aspects of this project to date.
