DEPARTMENTAL RECOMMENDATION:

The County Administrator's Office recommends the Board of Supervisors approve the amendments to the Solano Commission for Women and Girls' Bylaws to establish the role of co-chair, revise member attendance requirements, and make other governance revisions.

SUMMARY/DISCUSSION:

The Solano Commission for Women and Girls was established by Board resolution in 2018 to educate the community and advise the Board of Supervisors on issues relating to the changing social and economic conditions of women and girls in Solano County by raising awareness of issues, achievements, and opportunities.

The proposed amendments are intended to clarify governance procedures, improve commission operations, and update to bylaws to reflect current practices.

This is the first revision of the commission's bylaws since the bylaws were originally approved in 2018. Many of the changes serve to clarify existing language and guidelines. Changes of note include the following:

* Establishes the role of co-chair
* Revises the frequency of reporting to the Board of Supervisors from annually to once every five years
* Expands the removal provisions to apply to all commissioners rather than only at-large and youth commissioners
* Requires a biennial review of the bylaws
* Revises the voting requirements for filling vacancies and electing officers from a majority vote to election by a quorum of the full commission
* Revises the voting requirements for action items from a two-thirds vote to a simple majority
* Deletes the requirement for the treasurer to distribute financial statements
