RECOMMENDATION:

 

It is recommended that the Solano Consolidated Oversight Board (Board) adopt a resolution approving the proposed amended Bylaws for the Board.

 

DISCUSSION:

 

The Bylaws of the Board facilitate the process of the meetings and establish rules of operation for the Board. The Board adopted its current bylaws in July 2018.  Since that meeting, the Board has met twice to consider and act on business items.  All other monthly meetings were canceled due to a lack of business items.

 

The Bylaws do not state any formal direction for canceling a meeting due to a lack of business items.  For this reason, the Board’s legal counsel has recommended that the Bylaws be amended to clarify and address meeting cancellations due to a lack of business items.  Staff has prepared the attached proposed amendment to the adopted Bylaws (Attachment A) for the Board’s consideration that includes the following statement under Article III, Section 1: Regular Meetings: “The Secretary shall issue a meeting cancellation notice if no business items have been submitted for a scheduled meeting”.

 

FINANCIAL IMPACT:

 

There is no financial impact in adopting this resolution or the bylaws.

 

ALTERNATIVES:

 

The Board may choose not to adopt the amended Bylaws; however, this alternative is not recommended as the Bylaws cover the essential operating guidelines of the Board.

 

OTHER AGENCY INVOLVEMENT:

 

The Secretary of the Solano Consolidated Oversight Board and Solano County Counsel participated in the compilation and review of the Bylaws.
